Lean Sheets LLC (“Lean Sheets") is the owner of the Lean Sheets Website and Lean Sheets Materials. The Lean Sheets Website contains information, including, without limitation, all text, graphics, photographs, graphs, sounds, data, images, audio, video, page headers, software (including HTML and other scripts), buttons, and other icons, and the arrangement and compilation of this information (collectively, the “Information”) that is either owned or licensed by Lean Sheets. By purchasing, accessing, using, or downloading from the Lean Sheets Website or purchasing, accessing, using, or downloading any Lean Sheets Materials, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, do not use the Lean Sheets Website or any Lean Sheets Materials.

 

Lean Sheets produces and provides bar exam preparation products, content, information and other materials, both digitally and in print format, through the form of both purchasable and freely accessible text content, downloadable files, print materials, and online applications, (collectively, the “Lean Sheets Materials”). The Lean Sheets Materials include but are not limited to the following:

• Bar Exam Lean Sheets (All state and jurisdictional versions available)
• Lean Sheets Flashcards (All state and jurisdictional versions available)
• MPRE Lean Sheets
• Bar Exam Strategy Guides (All state and jurisdictional versions available)

 

You hereby acknowledge and agree as follows:

 

1. LICENSE

Lean Sheets grants you a limited, worldwide, revocable, nonexclusive, and nontransferable license to use the Lean Sheets Website and the Lean Sheets Materials. Subject to applicable fees, you may download, view, copy, and print the information incorporated into the Lean Sheets Website  and Lean Sheets Materials solely for your personal, noncommercial use. The Lean Sheets Materials may not be transferred, shared with, or disseminated with anyone for any purpose that is inconsistent with the purpose of the Site, to facilitate unfair competition with the Site, or for any purpose that is inappropriate or unlawful under applicable United States and international law.

 

2. RESTRICTIONS

You shall use the Lean Sheets Website, Information, and Lean Sheets Materials for lawful purposes only.

You shall not rent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, modify, create derivative works, or store the Lean Sheets Website, Information, or any Lean Sheets Materials received or accessed to or through any other person or entity without the express consent of Lean Sheets. You shall not use or purchase any Lean Sheets Materials for any other purpose than to prepare for a bar exam, professional responsibility exam, or law school exam.

 

Restrictions on Identity

YOU MAY NOT PURCHASE ANY LEAN SHEETS MATERIALS IF YOU ARE AN AGENT, EMPLOYEE, CONTRACTOR, SUBCONTRACTOR, ASSIGN, DIRECTOR, OFFICER, AND/OR OWNER OF A TUTORING COMPANY,  BAR REVIEW COURSE, LAW SCHOOL PREPARATION SERVICE, LAW SCHOOL OR AFFILIATE OR SUBSIDIARY OF ANY OF THE ABOVE (COLLECTIVELY “RESTRICTED USER”).

 

Conditions of Use of Lean Sheets Materials

As a condition of your use of the Lean Sheets Materials, You hereby represent and warrant the following:

• I am a law student/law school graduate intending to take the bar exam. I am not a Restricted User, nor am I a member, employee, affiliate, or agent of any board of bar examiners.
• I will not sell, share, copy, post photos of, broadcast, deliver, or allow anyone—in person or online—to view or have the Lean Sheets Materials in any form. I understand that they are the copyrighted work product of Lean Sheets. I agree not to sell or share said Lean Sheets Materials on any primary or secondary market, including but not limited to: Amazon, eBay, Google, Facebook, Offer-Up, Craigslist, Instagram, LinkedIn, Twitter, Reddit, or on any other site, to any other institution or person, or privately.
• I will not request, initiate, or engage in the sharing of any Lean Sheets Materials
• That I understand that the Lean Sheets Materials do not promise to cover everything—or anything—on a given bar exam, professional responsibilty exam, or law school exam, and that there are no warranties as to the accuracy of the information presented therein.
• I agree that an injunction is an appropriate remedy if I improperly share the Lean Sheets Materials. I also agree to pay Lean Sheets, on a per incident basis, as liquidated damages and not as a penalty, the cost of the Lean Sheets Materials (including taxes, shipping, and other associated fees). The cost of the Lean Sheets Materials shall be determined at the time the incident is discovered and at the sole and absolute discretion of Lean Sheets.

 

3. REFUNDS

Any purchase of Lean Sheets Materials is non-refundable once accessed. Exceptions may be made in rare situations such as accidental duplicate orders, or orders placed for the wrong jurisdiction. Lean Sheets reserves full discretion in granting any such exception.

 

4. CHOICE OF LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Nevada, without reference to any conflict of laws principles. Further, any such claim or cause of action shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you agree to submit to the exclusive personal jurisdiction of such courts. You agree to waive any objection that the state or federal courts of Clark County, Nevada are an inconvenient forum.

 

5. DISCLAIMER OF WARRANTIES

You acknowledge and agree that no warranties of any kind are made with respect to the Lean Sheets Website, Information, or Lean Sheets Materials. Furthermore, you acknowledge that the Information and links provided through the Lean Sheets Website are compiled from sources that are beyond the control of Lean Sheets. Though such Information is recognized to be generally reliable, you acknowledge that inaccuracies may occur, and that Lean Sheets and its licensors do not warrant the accuracy or suitability of the Information. FOR THIS REASON, YOU ACKNOWLEDGE THAT THE LEAN SHEETS WEBSITE, INFORMATION, AND LEAN SHEETS MATERIALS ARE PROVIDED TO YOU ON AN “AS IS, WITH ALL FAULTS” BASIS. LEAN SHEETS DOES NOT WARRANT THAT THE LEAN SHEETS WEBSITE, INFORMATION, OR LEAN SHEETS MATERIALS WILL MEET YOUR REQUIREMENTS, WILL BE ACCURATE, OR WILL BE UNINTERRUPTED OR ERROR FREE. LEAN SHEETS EXPRESSLY EXCLUDES AND DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LEAN SHEETS SHALL NOT BE RESPONSIBLE FOR ANY DAMAGE OR LOSS OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF THE LEAN SHEETS WEBSITE, INFORMATION, OR LEAN SHEETS MATERIALS.

Under these Terms and Conditions, you assume all risk of errors and/or omissions in the Lean Sheets Website, Information, and Lean Sheets Materials, including the transmission or translation of Information.

 

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL LEAN SHEETS OR ITS EMPLOYEES, AGENTS, LICENSORS OR CONTRACTORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR MULTIPLE DAMAGES OF ANY KIND, INCLUDING LOSS OF PROFITS, REVENUES, OR OTHER ECONOMIC LOSSES WHETHER DEEMED DIRECT OR CONSEQUENTIAL AND REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER SUCH DAMAGES WERE REASONABLY FORESEEABLE. IN NO EVENT SHALL OUR LIABILITY FOR ANY DAMAGES, REGARDLESS OF KIND OR TYPE, TO YOU OR ANY OTHER PERSON, EXCEED $250.00.

 

7. INDEMNIFICATION

You agree to defend, indemnify, and hold Lean Sheets and its employees, agents, licensors or contractors harmless from and against all claims, demands, actions, suits, damages, liabilities, losses, settlements, judgments, costs and expenses (including but not limited to reasonable attorney’s fees and costs), whether or not involving a third party claim, which arise out of or relate to your use of the Lean Sheets Website, Information, or Lean Sheets Materials, including without limitation, your violation of these Terms and Conditions, in each case whether or not caused by the negligence of Lean Sheets or its employees, agents, licensors or contractors and whether or not the relevant claim has merit.

 

8. SEVERABILITY

If any provision of this these Terms and Conditions shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. Any unenforceable provision will be replaced by a mutually acceptable provision which comes closest to the intention of the parties at the time the original provision was agreed upon.

 

9. COPYRIGHT, PATENT AND TRADEMARK NOTICE

Except as permitted in these Terms and Conditions, you may not copy, adapt, distribute, commercially exploit, or publicly display the Information or any portion thereof in any manner whatsoever without prior written consent from Lean Sheets. You may not remove, alter, or obscure any copyright, legal, or proprietary notices in or on any portions of the Lean Sheets Material.

 

10. MODIFICATION

Lean Sheets reserves the right to update the Terms and Conditions at any time without notice to you. The most current version of the Terms and Conditions can be reviewed by clicking on the “Terms” link located at the bottom of the Lean Sheets Website.

 

11. ENTIRE AGREEMENT

The Terms and Conditions constitute the entire agreement between you and Lean Sheets. This agreement may not be modified except by Lean Sheets.
